Lois Tech, Inc. ("Lois Tech," "HeyLois," "we," "us," or "our") provides its services (as described below) through its website located at https://heylois.com (the "Site") and through its applications and related services (collectively, such services—including any new features and applications, and the Site, the "Service(s)"), subject to the following Terms of Service (as amended from time to time, these "Terms of Service"). These Terms of Service are effective as of the date you and Lois Tech enter into an online order or otherwise complete the ordering flow on the Service (the "Effective Date"). If you are accepting these Terms of Service on behalf of your employer, organization, or another entity (collectively, an "Entity") (for example, if you sign up for a Service using an email address associated with an Entity), then you represent and warrant that (a) you have read and understand these Terms of Service, (b) you have full legal authority to bind such Entity to these Terms of Service, and (c) you agree to these Terms of Service on behalf of such Entity. As used herein, "You" means the Entity you represent in accepting these Terms of Service or, if that does not apply, you individually.

We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. If we do so, we will post the changes on this page and indicate at the top the date these terms were last revised. We will also notify you—either through the Service's user interface, via email, or by other reasonable means. Any such changes will become effective no earlier than fourteen (14) days after they are posted; however, if you have paid for a subscription to a Service ("Subscription"), any change will take effect at the next renewal of your Subscription, except as provided below. Your continued use of the Service after any such changes become effective constitutes your acceptance of the new Terms of Service.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY, as they contain important information regarding your legal rights, remedies, and obligations. By using the Service, you agree to arbitrate disputes individually and waive your right to a trial by jury or to participate in a class or representative action (with limited exception).

In addition, when using certain aspects of the Service, you may be subject to additional terms that are posted on the Site from time to time—including, without limitation, our Privacy Policy—which are hereby incorporated by reference. If you are an individual, our Privacy Policy applies to you; if you are an Entity, our Privacy Policy applies to your end users.


1. Access and Use of the Service

Service Description:

HeyLois is designed to enhance your email experience by downloading your Gmail content and processing it with OpenAI APIs to build a custom contact database and to analyze relationships between contacts to determine matches for connection.

Your Registration Obligations:

You may be required to register with HeyLois to access certain features of the Service. If you register, you agree to provide and maintain accurate, current, and complete information as prompted by the registration process. Registration data and other information provided are governed by our Privacy Policy. If you are under 13 years of age, you are not authorized to use the Service; and if you are under 18, you may use the Service only with the approval of your parent or guardian. If you represent an Entity, you are responsible for obtaining all required consents from your end users to allow HeyLois to provide the Service to them.

Use of Google APIs:

Our use of information received from Google APIs adheres strictly to the Google API Services User Data Policy, including all applicable limitations.

Security of Your Email:

We implement appropriate technical and organizational measures to protect against accidental or unlawful loss, destruction, or unauthorized access to your email content processed on your behalf. However, you agree to notify us immediately at security@loistech.com of any breach or potential security issue. HeyLois is not liable for any unauthorized interception or alteration of your electronic communications transmitted across networks not controlled by us.

Access to the Service:

You are responsible for obtaining and maintaining the necessary equipment and ancillary services (e.g., modems, hardware, software, Internet connection) to access and use the Service. You are solely responsible for ensuring that such equipment is compatible with the Service and complies with any specifications or configurations set forth in our published policies. In the event you notice any issues that may affect the performance of the Service, please notify us at support@loistech.com.

General Practices Regarding Use and Storage:

HeyLois may set general practices and limits regarding the use of the Service, such as the maximum time that data will be retained or the storage space allocated on our servers. HeyLois is not responsible for the deletion or loss of any data or content maintained or uploaded through the Service and reserves the right to terminate accounts that remain inactive for an extended period.

Mobile Services:

The Service includes features available via mobile devices, including the ability to upload content, browse the Service, and access certain features through mobile applications ("Mobile Services"). If you access the Service via a mobile device, standard charges from your wireless carrier may apply. Not all Mobile Services may work with all carriers or devices.


2. Conditions of Use

User Conduct:

You are solely responsible for all content (e.g., code, images, information, data, text, and other materials) that you upload, post, or transmit via the Service. Your use of the Service must comply with all applicable laws.

Fees and Subscriptions:

If the Service or any portion thereof is subject to a fee, you will be required to select a payment plan and provide payment details. You represent and warrant that you are authorized to use the payment instrument you provide. You agree to pay the fees specified in your selected payment plan and authorize recurring billing until your subscription is terminated. Subscriptions automatically renew unless you notify us of your intent not to renew, as detailed in our cancellation policy. In the event of a disputed charge, you must notify us within sixty (60) days of the charge date. We reserve the right to change prices and will provide notice at least 30 days before any change takes effect.

International Use and Export Controls:

Software and data provided in connection with the Service may be subject to U.S. export controls. You agree to comply with all applicable export laws and regulations and acknowledge that downloading or using our Software is at your own risk.

Data Processing Addendum:

If you are an Entity and we process any of your personal data on your behalf, the terms of our Data Processing Addendum (available at https://heylois.com/dpa) are incorporated by reference into these Terms of Service.

HeyLois AI Tools:

If you or your end users elect to use any features that utilize artificial intelligence or machine learning—such as tools to extract contact information and match individuals—then the use of these AI Tools is subject to additional terms. "Input" means any content provided by you or your end users for processing, and "Output" means any result generated by the AI Tools. You agree that your Input must not violate any laws or these Terms, and you acknowledge that Output may not be unique and may be similar to that generated for other users. You further agree not to misrepresent AI-generated Output as solely human-created, and to comply with any third-party policies that apply.

Third Party Distribution Channels:

If you obtain our Software through a third-party distribution channel (such as an app store), you may be subject to additional terms imposed by that channel. These Terms of Service are solely between you and HeyLois and do not apply to the third-party channel.


3. Intellectual Property Rights

Service Content, Software, and Trademarks:

The Service may include content and features ("Service Content") that are protected by intellectual property laws. The underlying technology and software ("Software") are the property of Lois Tech, its affiliates, or its partners. You agree not to use any Service Content or Software except as expressly permitted. The logos, trademarks, and service marks of HeyLois are the exclusive property of Lois Tech. No license or right to use such trademarks is granted without our prior written permission.

Third-Party Material:

HeyLois is not liable for any third-party content available via the Service. Although we do not pre-screen such content, we reserve the right to remove any material that we deem inappropriate.

User Content:

For any content you transmit via the Service ("User Content"), you warrant that you own the rights or have the necessary permissions to use and distribute it. By transmitting User Content, you grant Lois Tech a license to process and deliver such content to intended recipients. HeyLois is not responsible for how third parties may use content that you provide.


4. Confidentiality

"Confidential Information" means any information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Confidential Information does not include information that is public, already known by the receiving party, or independently developed without reference to the disclosing party's information. Each party agrees to use the other's Confidential Information solely as permitted by these Terms and to take reasonable steps to protect it. In the event of a breach, the non-breaching party is entitled to seek injunctive relief and any other remedies available at law.


5. Use of AI Technology

HeyLois leverages third-party AI technology to process your email content. Our AI-driven systems perform two primary functions: first, they extract contact information from your emails to build and update your custom contact database; second, they analyze relationships between contacts to determine if two individuals are a match for connection. Our trusted AI partners are authorized to use your information solely for the purpose of delivering these features and are not permitted to use your data to train their models or for any purposes beyond operating our Service.


6. Termination

Lois Tech may suspend or terminate your account or access to the Service, in whole or in part, at its sole discretion if you violate these Terms of Service or for any other reason, including suspected fraudulent or abusive activity. If you have a Subscription, termination due to a material breach will occur only if you fail to remedy such breach within thirty (30) days after written notice. Upon termination or non-renewal, any provisions that by their nature should survive (including payment, proprietary rights, confidentiality, disclaimers, indemnification, limitation of liability, and dispute resolution) will remain in effect.


7. Dispute Resolution and Arbitration

Agreement to Arbitrate:

Any disputes or claims arising out of these Terms of Service or the Service shall be resolved exclusively through final and binding arbitration, as further detailed below. By agreeing to these Terms of Service, you waive your right to a trial by jury and to participate in any class action.

Class and Representative Actions:

You and Lois Tech agree that each party may bring claims only on an individual basis and not as a class member or in any representative action.

Pre-Arbitration Dispute Resolution:

Before initiating arbitration, you agree to notify us in writing of any dispute. If we are unable to resolve the dispute within sixty (60) calendar days of receiving such notice, either party may commence arbitration.

Arbitration Procedures:

Arbitration will be conducted by a neutral arbitrator under the rules of the American Arbitration Association (AAA) (including the AAA's Consumer Arbitration Rules). If your claim is for $10,000 or less, you may choose a document-only, telephonic, or in-person hearing as provided by the AAA Rules. The arbitrator's decision will be final and binding.

Costs and Confidentiality:

Arbitration fees will be governed by the AAA Rules and, unless otherwise allocated, will be split equally between the parties. All aspects of the arbitration proceeding and any decisions shall be kept confidential.

Severability:

If any part of the Arbitration Agreement is found invalid or unenforceable, the remaining provisions will remain in full effect.

Future Changes:

If we make any future changes to this Arbitration Agreement while you are a user of the Service, you may reject those changes by providing written notice within thirty (30) days.


8. Indemnification

If you have a Subscription, Lois Tech will defend you against any third-party claim that your use of the Service (as permitted hereunder) infringes intellectual property rights, provided you (a) promptly notify us of any such claim, (b) allow us sole authority to defend or settle the claim, and (c) cooperate with us. If a claim arises due to a breach by you, you will indemnify Lois Tech for any resulting damages.


9. Warranties, Disclaimers, and Limitations of Liability

Warranties:

Lois Tech warrants that any Service for which you have a Subscription will perform materially as described in our documentation. We will use commercially reasonable efforts to correct any verified breach of this performance warranty reported by you within 30 days. Your remedy, if such breach is not remedied, is limited to a refund of any prepaid fees for the affected portion of the Subscription term. You warrant that you have the rights necessary for any User Content you provide.

DISCLAIMERS:

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. LOIS TECH DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOIS TECH'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU HAVE PAID LOIS TECH IN THE LAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. IN NO EVENT WILL LOIS TECH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING OUT OF OR RELATED TO THE SERVICE.

Some jurisdictions do not allow the disclaimer or exclusion of certain warranties or liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.


10. General

These Terms of Service constitute the entire agreement between you and Lois Tech with respect to the Service, superseding any prior agreements. They are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in San Francisco County, California. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. You may not assign these Terms without our prior written consent, except in connection with a merger, acquisition, or sale of all or substantially all of your assets (with prior notice to us).

Notices to you may be made via email or regular mail as provided on our Contact page. Changes to these Terms may be posted on the Service and will be effective as stated above.

Under California Civil Code Section 1789.3, California users have specific consumer rights.
